E-filliate Agreement

This is an Agreement between you ( 'The E-filliate' )
and UFLYonline.com (  'The Company' ).

By submitting this agreement you are confirming that you have read and understood the terms and conditions of this agreement and that you agree to be legally responsible for each and every term and condition.

The E-filliate Agreement contains the complete terms and conditions that allow you to become a member of the UFLYonline.com E-filliate program (" Member "). The purpose of this program is to allow HTML linking between your web site and the UFLYonline.com web site, subject to the terms and conditions contained herein.

The Things You Have To Do

Link to our site

As a Member you will access the E-filliate command center located at http:/reporting.uflyonline.com. At this site you can download HTML codes and graphics that we have made available for you to use in your web site. You can use the HTML code and graphics provided by UFLYonline.com only to link to or search the UFLYonline.com web site, provided that you will not use the HTML codes provided by UFLYonline.com in connection with any feature in your web site which is devoted or related to travel information or similar services.

The HTML code we will make available to you provides special links for linking to web pages within UFLYonline.com web site 'Tagged Links'. You should ensure that all links between you and The Company are Tagged Links, otherwise your commission fees will not be tracked and recorded.

We have the right to monitor your site as we feel necessary to make sure that your links to our web site are appropriate. If we decide that your links are not appropriate, we will notify you of the changes that needs to be done. If those changes are not made immediately, then we may terminate this Agreement upon notice to you.

You agree that upon termination of this Agreement you will instantly remove all links to UFLYonline.com from your web site.

The E-filliate agree to abide by all of the terms and conditions of use related to each of our web sites, including the E-filliate command center.

Identify yourself as an E-filliate

You will receive a small graphic image that identifies you as a Member. You should display this image or phrase 'in association with UFLYonline.com ' on your site; if you fail to comply with this requirement we may terminate this agreement upon notice to you.

Maintain your site

The maintenance and updating of your site is your responsibility. We may monitor your site as we feel necessary to make sure that your site is up to date and to notify you of any changes to your site that we feel should be made. If we notify you of changes that needs to be modified and such changes are not made immediately, then we may terminate this Agreement upon notice to you. You agree that upon the termination of this Agreement you will immediately remove all links to UFLYonline.com from your web site.

Do not use our Domain Name

You agree that your domain name will not at any time contain the word UFLYonline or any variation to this name and that you will not purchase any domain name or other rights or otherwise contract with a third party to exploit this name , for the purpose of causing your site to appear as a search result for any other reason.

The Things You Need To Know and Understand

We can Monitor your site

You agree that we have the right to monitor your site to determine if you are following the terms and conditions of this Agreement and to notify you of any changes to your site that we feel should be made.

We Determine the Policies for the Bookings and the Purchases

Customers who book and purchase travel from your web site through the UFLYonline.com E-filliate program ( and the Uflyonline.com Customer Service Center "Call Center" ) will be considered UFLYonline.com 's customers. You agree that all of our rules, policies, and operating procedures concerning customer orders, customer service, and ticket bookings will apply to those customers. We can change our policies and operating procedures at any time and from time to time.

You Can Not send out Publicity Without Our Consent

You can not create, publish, distribute, or permit any written , electronically transmitted or other form of publicity material that makes reference to UFLYonline.com without submitting the material to us for approval. If you fail to comply with this consent we may terminate this Agreement upon notice to you.

The Starting Date of This Agreement

This Agreement will begin upon Acceptance of your E-filliate Application.

We Can Modify This Agreement

We can modify any of the terms and conditions of this Agreement, at any time, in our sole discretion. You will be notified of the changes and the modifications if any Modifications may include, but are not limited to, changes in the scope of commission, payment procedure, and the UFLYonline.com E-filliate program rules.

If any change is unacceptable to you, your only option is to end this agreement. Your continued participation in the UFLYonline.com E-filliate program following the announcement of the changes on our site will indicate your acceptance of the changes.

The Things You Receive

You Earn Money

You will be eligible to earn commission fees on sales of AIRLINE TICKETS occurring during the term of this Agreement.

Every time all the following occurs, (a "booking"), you are entitled to earn a commission:

• A customer reaches UFLYonline.com web site through a tagged link on your site
• The customer books and purchases an airline ticket on the UFLYonline.com web site
• The airline ticket is processed through UFLYonline.com Customer Service Center, and
• The airline ticket is not exchanged, refunded, or rebated
• The car rental or hotel reservation is not canceled

Once all of the above points have occurred, you will then be entitled to a commission fee for each booking. The amount of each commission to be paid for each booking shall be 1% of the total amount of each booking. Exact commission amounts will be determined based on a special payment system, which will take into consideration your prior performances in the E-filliate program. You will also be entitled to a commission for each car rental or hotel reservation. The amount of commission for each car rental and hotel reservation shall be an amount no less than one Dollars $1 per booking.

When the total commissions due to you at the end of each quarter, we will send you a commission check for such amount less any taxes required to be withheld under applicable law.

When this Agreement ends, any commissions due at the time of termination will be paid at the end of the quarter following termination.

In the case where a customer rejects a purchased ticket, and we have already paid you a commission fee based on the sale of that ticket, we will deduct the amount of your disputed commission from your next commission fee payment. If there are no subsequent commission fees due to you, we will send you a bill for the amount of the disputed commission, and you agree that you will pay that bill no later than 30 days after you receive it.

Kindly note that only purchases through a tagged link are entitled to commissions. In the case where a customer enters our site through a link from your site that is not Tagged link, you will not be entitled to any commission.

You Will be Given a Password To Access Specific E-ffiliate Information

When you become a member of the E-filliate program, you will receive a password so that you may enter a secure site E-filliate command center, located at http:/uflyonline.reporting.net . From this site you will be able to receive your sales statistics, reports and other information. You agree that the above reports will be the final measurement of the bookings for which commissions will be calculated.

Grant of Licenses

During the term of this Agreement, we grant to you a non-exclusive worldwide right and license to:

• Access our site through HTML links only
• Use our logos, trademarks, trade names, and similar identifying materials in connection with the HTML links only.

During the term of this Agreement, you grant to us a non-exclusive worldwide right and license to utilize your names, titles, and logos in the advertising, marketing, promotions and publicity.

Each party agrees not to use the other's proprietary materials in any manner that portrays the party in a negative way. Each party reserves all of its respective rights in the proprietary materials covered by this license. Other than the license granted in this Agreement each party retains all rights, title, and interests to its respective rights.

Confidentiality

Except with the consent of the other party, each party agrees that all information concerning the other party will remain confidential and will not be used for any matter.

Indemnification

You agree to indemnify, defend and hold harmless the Company and its employees, representatives, agents, and corporate E-ffiliates against any claims and lawsuits based on copyrights, patents and trademarks.
